Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ShortlistIQ platform operated by ShortlistIQ Ltd, a company registered in England and Wales. By creating an account or using the service you agree to be bound by these Terms.

1. Acceptable use

You agree not to use ShortlistIQ to (a) upload data you have no lawful basis to process, (b) reverse engineer the service or its models, (c) attempt to bypass usage limits or security controls, or (d) use the service for unlawful discrimination, harassment or any activity prohibited by UK law.

2. Subscription and billing

Paid plans are billed monthly or annually in advance via our payments provider. Fees are quoted exclusive of VAT, which is added where applicable. Plan upgrades take effect immediately with prorated charges; downgrades take effect at the end of the current billing period.

3. Account responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised access at security@shortlistiq.com.

4. Intellectual property

The ShortlistIQ platform, including its software, models, design and documentation, is owned by ShortlistIQ Ltd and protected by intellectual property laws. We grant you a non-exclusive, non-transferable licence to use the service in accordance with these Terms for the duration of your subscription.

5. Data ownership

You retain all rights to candidate data and other content you upload ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and improve the service for you. We do not sell Customer Data and do not use it to train foundation models.

6. AI-generated content disclaimer

ShortlistIQ uses large language models to produce match scores, candidate summaries and outreach drafts. AI output may contain inaccuracies, omissions or bias. You are responsible for reviewing AI-generated content before relying on it for hiring decisions or sending it to candidates. ShortlistIQ is not a substitute for human judgement.

7. Service availability

We target 99.5% monthly uptime measured outside scheduled maintenance windows. The service is provided on an "as available" basis and may be temporarily unavailable for maintenance, upgrades, or events beyond our reasonable control.

8. Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period and you retain access until then. Fees already paid are non-refundable except where required by UK consumer law.

9. Limitation of liability

To the maximum extent permitted by law, ShortlistIQ's total aggregate liability arising out of or relating to the service shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential losses, including loss of profit, revenue or data. Nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Governing law

These Terms are governed by the laws of England and Wales. Any dispute arising under them is subject to the exclusive jurisdiction of the courts of England and Wales.
